Membership Units Purchase Agreement

This document can be used when a party wishes to sell its membership shares to an LLC (or if a party wishes to purchase membership units to an LLC) and requires a written agreement. This document will probably be stored at the LLC to have a record of the sale. The seller is the economic and record owner of Membership Units of Husker Ag, LLC, a limited liability company in Nebraska (the “company”); and this CONVENTION OF THE ECONOMIC UNION AND 2010 (“purchase contract”), which was concluded on 1st 2005 between and between Dakota Growers Pasta Company, Inc., a North Dakota company (“Dakota”), B-New, LLC, a limited liability company in Ohio (“BNEW”), TechCom Group, LLC, a limited liability company in Florida (“TechCom”), and Buhler, Inc., a Minnesota company (“Buhler”) (Dakota) BN TechCom and Buhler can be described as a “member” and collectively a “member.” This document also has an optional supplement at the end if the full agreement of all other LLC members is required to validate the sale. LLC membership agreements can be used for any situation in which money is exchanged for the abandonment of shares in an LLC. This extension (this “extension amendment”) came into effect on July 1, 2009 by and between Glacial Lakes Energy, LLC, a South Dakota limited liability company in Watertown, South Dakota (“seller”), and Fagen, Inc., a Minnesota-based company based in Granite Falls, Minnesota (“Buyer”). An LLC membership agreement usually takes place long after THE LLC activity. To create a limited liability company in most states, each party must start with organizational articles (sometimes called association certificates or other different names). These documents are compiled by the LLC and in accordance with state laws. LCs are formed with members who are the owners of the business. This document can be used if one of these members has to sell some or all of the interest. LLC membership agreements are short, relatively simple documents that contain all the information necessary to sell interest to an LLC. They include a place for the person who sells the interest – the seller – and for the person who receives the interest – the buyer – to execute the document.

AMENDMENT No. 1 of August 8, 2005 (“Amendment No. 1”), membership unit PURCHASE AGREEMENT (the “sales contract”) of April 1, 2005, by and under ZG ACQUISITION INC., a Delaware Corporation (the “acquirer”), MDC PARTNERS INC., an affiliate under Canadian federal law, Sergio Zyman, ZYMAN GROUP, LLC, a limited liability company in Delaware , including the Zyman Group, LLC, a limited liability company in Nevada, including its subsidiaries, the “company”), ZYMAN COMPANY, INC., and some of the company`s other shareholders (together the “Management Sellers,” with Zyman, the “sellers” and, individually, a “seller”).
